DPO Group's approach to servicing capitalization needs is to first review all the elements that make up a successful equity capital development program from Preliminary Analysis and Business Planning - including the effects of expanding with Electronic Commerce - to customer/investor database developments and Offering Web sites.
A solidly developed business plan related to financial modeling is the foundation of a Private Placement Memorandum, Offering Circular or Prospectus - the legal documents which can be 60 to 100 pages in length based on legal requirements by the SEC and/or state regulatory agencies. These filing documents are driven by the information developed within the business plan and are, therefore, the first step in the process of creating an offering, including the legal documents necessary for filings. A business plan is usually no more than a 30 page document plus financial data and financial modeling reports (see on-line business plan Examples) thereby providing key business information with financial projections. A good business plan can also attract seed funding for startup businesses (and since only a few investors are needed the requirements for legal registrations are usually unnecessary). Whether the plan is for a startup venture or the foundation for public offering filing requirements they must be easy reading, interesting and inviting. DPO Group can prepare an affordable business plan for your business that can assist you in raising capital quickly.
Except for a SCOR offering, the SEC requires
that a Prospectus, also called an Offering Circular, be filed with the appropriate forms.
The Offering Circular is actually a legal business plan containing SEC required elements
and formatting. The type of SEC registration determines the elements for inclusion in the
Offering Circular as well as the expenses related to producing such a document. For
example, a Registration A filing does not require unaudited interim financial statements
while SB-1, and SB-2 do require this as well as pro-forma financial projections.
DPO Group
will produce the offering circular from either an enhanced
compilation of existing documentation or as an original source document. DPO Group will maintain oversight of
the SEC and Blue Sky filings. The Blue Sky filings can become an expensive venture, thus
the filings are planned strategically to optimize the use of the Internet. While the
ultimate responsibility and sign-off resides with the DPO candidate, DPO
Group can direct
all aspects of the SEC and Blue Sky filings, coordinating legal and accounting services,
as well as escrow and transfer agent
services. In order to effectively execute an Internet Direct Public Offering, the DPO candidate will need professionally designed web sites which provide DPO information from an on-line "Test The Water" barometer, the prospectus, real time subscription ordering, and a web-based secondary marketing stock listing system. DPO Group produces and provides highly effective Web sites designed to optimize Internet based Direct Public Offering (Examples).
An original Electronic Newsletter is created by our
design, editorial and publishing experts - called an E-Mag. Both the online version as
well as the print version go a long way to initiate a dialogue with your
soon-to-be-investors, as well as serve as a cornerstone for on-going corporate relations. CBC E-Mags are part of
upgrades to DPO candidates business web sites.
Marketing and Public Relations underpin effective Direct Public Offerings. Unlike an IPO, which is usually capitalized in advance by an Investment Banker, DPO candidates "bootstrap" their own public offering. DPO Group's e-marketing division, known as "The Ad Agency" is fielded by experts in marketing and public relations as well as the Internet. Understanding that it is the affinity group which is a primary target market for the DPO candidate, CBC forms an Internet-based marketing and public relations program accordingly. In keeping with a full service policy, DPO Group can provide incorporating and staffing (executive search) services. Incorporating your business can become a complicated matter. Articles of Incorporation, Corporate Minutes, Employer Identification Number, Corporate By-Laws, and Stock Certificates are important LEGAL forms of the corporation.
NOTE: DPO Group is not offering nor engaging in legal or financial advice. If you are seeking such advice the services of a competent professional attorney or financial consultant should be sought . |
